Russia's MegaFon to start roadshow Wednesday for up to $375 million five-year bullet

New York, Nov. 19 - OJSC MegaFon, through its MegaFon SA Lux unit, will start a roadshow on Wednesday in Asia and Europe for its debut note offering of (B2/B+) up to $375 million, according to market sources.

To be sold under a loan participation note program, the notes will be structured as senior fixed-rate notes, non-callable and with a five-year maturity.

The notes will be guaranteed by the company's major operating subsidiaries.

Citigroup and ING Financial Markets are running the Regulation S offering.

MegaFon, based in Moscow, is Russia's third-largest mobile phone company.
