Mavenir Systems plans to price public offering of 4.09 million shares

BofA Merrill Lynch and Deutsche Bank Securities are joint bookrunners

Knoxville, Tenn., July 15 – Mavenir Systems, Inc. will sell 4.09 million common shares in a public offering with a greenshoe for 675,000 additional shares, according to an S-1 filing made Tuesday with the Securities and Exchange Commission. Selling stockholders will also sell 410,000 shares in a secondary sale.

BofA Merrill Lynch and Deutsche Bank Securities Inc. will be the joint bookrunning managers. Stifel, Nicolaus & Co., Inc., Needham & Co., LLC, Pacific Crest Securities LLC and Cowen and Co., LLC are the co-managers.

Proceeds will be used for working capital and other general corporate purposes.

Based in Richardson, Texas, the company is a provider of software-based telecommunications networking solutions that enable mobile service providers to deliver internet protocol-based voice, video, rich communications and enhanced messaging services to their subscribers.
