Noonday sells shares of Manor Care

Charlotte, N.C., Oct. 15 - Investors led by Noonday Asset Management, LP sold 1,342,862 shares of Manor Care, Inc. stock between Sept. 14 and Oct. 11 priced from $63.76 to $65.72 each, according to a schedule 13D filing with the Securities and Exchange Commission.

The reporting persons own 1,885,300 shares, or 2.6%, of the Toledo, Ohio-based provider of short-term post-acute and long-term health care.

Manor Care shareholders are set to vote Oct. 17 on the acquisition of the company by an affiliate of the Carlyle Group. It was previously reported that Manor Care's board approved a July 2 agreement in which the Carlyle Group would take the company private in an all-cash transaction valued at $6.3 billion. Manor Care shareholders will receive $67.00 in cash for each share of common stock owned.
