Anheuser-Busch InBev eyes six-part sale of fixed-rate notes, floaters

Knoxville, Tenn., March 20 – Anheuser-Busch InBev Worldwide Inc. plans to price a six-tranche offering of notes, according to a 424B5 filing with the Securities and Exchange Commission.

The offering includes floating-rate notes due 2024, fixed-rate notes due 2024, fixed-rate notes due 2028, fixed-rate notes due 2038, fixed-rate notes due 2048 and fixed-rate notes due 2058.

Interest on the floaters will be based on Libor.

The fixed-rate notes have a make-whole call until the par call date, and then a par call. The floaters are non-callable.

The par call date is one month prior to maturity for the 2024 notes, three months prior to maturity for the 2028 notes, six months prior to maturity for the 2038 notes, six months prior to maturity for the 2048 notes and six months prior to maturity for the 2058 notes.

The notes will be guaranteed by Anheuser-Busch InBev SA/NV, Anheuser-Busch InBev Finance Inc., Brandbev Sarl, Brandbrew SA, Cobrew NV and Anheuser-Busch Cos., LLC.

BofA Merrill Lynch, Barclays, Deutsche Bank Securities Inc., J.P. Morgan Securities LLC and Mizuho Securities USA Inc. are the bookrunners.

Proceeds will be used for general corporate purposes, including repaying upcoming debt maturities in 2019 and 2020.

The beer brewer is based in Leuven, Belgium.
