Mac-Gray considers shareholder's director nomination proposal

Charlotte, N.C., Feb. 23 - Mac-Gray Corp. acknowledged that Darlington Partners, LP, an investment partnership managed by Fairview Capital Investment Management, LLC, notified the company of its intent to nominate Scott W. Clark and Bruce C. Ginsberg to Mac-Gray's board of directors at its 2009 annual meeting.

The governance and nominating committee will review and consider the notice in light of its shareholders' best interests, Mac-Gray said.

Clark is vice president, member and portfolio manager with Fairview Capital. Ginsberg is president, chief executive officer and a director of MooBella LLC, a company that has developed an ice cream dispensing system for food-service operations.

"Mac-Gray's board of directors is committed to the company's long-term business strategy and delivering value to shareholders. As we announced earlier this month, our priorities for 2009 are to keep capital expenditure to the irreducible needs required to sustain the business, continue to reduce our funded debt, improve the profitability of accounts that come up for contract renewal, and increase operating efficiencies," Mac-Gray chairman and CEO Stewart G. MacDonald said in a company news release.

Based in Waltham, Mass., Mac-Gray is a laundry facilities management contractor.
