By Paul A. Harris

St. Louis, April 14 - Amscan Holdings Inc. will start a roadshow Tuesday for a $175 million offering of 10-year senior subordinated notes (B-), according to an informed source.

Pricing is expected to take place during the week of April 26.

Goldman Sachs & Co. has the physical books on the Rule 144A/Regulation S offering. Credit Suisse First Boston is a joint bookrunner.

The notes will come with five years of call protection.

Proceeds will be used to fund the acquisition of Amscan by Berkshire Partners and Weston Presidio from GS Capital Partners, including the tender for Amscan's $110 million of 9 7/8% senior subordinated notes.

Elmsford, N.Y.-based Amscan is a designer, manufacturer and distributor of decorative party goods.
