New Issue: Amgen gives terms for $2 billion of notes in 10-, 30-year tranches

New York, Jan. 14 - Amgen Inc. released terms Wednesday for its $2 billion of senior notes (A3/A+/A) priced in two tranches, according to an FWP filing with the Securities and Exchange Commission.

The deal priced Tuesday.

The $1 billion of 5.7% 10-year notes priced at 99.777 to yield 5.729%, or Treasuries plus 345 basis points.

The $1 billion of 6.4% 30-year notes priced at 99.533 to yield 6.435%, or Treasuries plus 345 bps.

Both tranches came at the tight end of price talk, which was in the 350 bps area, a source said.

The notes feature a change-of-control put of 101%.

Bookrunners were Goldman Sachs & Co., Merrill Lynch, Pierce, Fenner & Smith and Morgan Stanley & Co. Inc.

Senior co-managers were Barclays Capital Inc., Citigroup Global Markets Inc., Credit Suisse Securities, Deutsche Bank Securities Inc., Mitsubishi UFJ Securities and UBS Investment Bank.

Co-managers were Daiwa Securities and Greenwich Capital Markets.

Proceeds will be used for general corporate purposes, including working capital, capital expenditures, debt service requirements and repayment of debt, repurchase of common stock and other business activities, including acquisitions and licensing.

The global biotechnology company is based in Thousand Oaks, Calif.
