New Issue: Amgen sells $4 billion of notes in four parts

Chicago, Feb. 17 – Amgen Inc. sold $4 billion of notes in four parts on Thursday with maturities spanning a time frame from 2029 to 2062 (Baa1/A-/BBB+), according to an FWP filed with the Securities and Exchange Commission.

The four tranches are the following:

• $750 million of 3% senior notes due 2029 priced at 99.687 to yield 3.05%, or at a spread of Treasuries plus 110 basis points;

• $1 billion of 3.35% senior notes due 2032 priced at 99.756 to yield 3.379%, or with a spread of Treasuries plus 140 bps;

• $1 billion of 4.2% senior notes due 2052 priced at 99.442 to yield 4.233%, or with a spread of Treasuries plus 190 bps; and

• $1.25 billion of 4.4% senior notes due 2026 priced at 99.384 to yield 4.433%, or at a spread of Treasuries plus 210 bps.

The notes feature a make-whole call until two months prior to maturity for the 2029 notes, three months prior to maturity for the 2032 notes, six months prior to maturity for the 2052 notes and six months prior to maturity for the 2062 notes and par calls after those dates.

BofA Securities Inc., Morgan Stanley & Co. LLC, Citigroup Global Markets Inc. and Goldman Sachs & Co. LLC are the bookrunners.

Barclays, BNP Paribas Securities Corp., Credit Suisse Securities (USA) LLC and J.P. Morgan Securities LLC are also joint bookrunners.

Proceeds from the 2029 green notes will be used for eligible projects.

Proceeds from the remaining notes will be used for general corporate purposes, including repurchasing upcoming debt maturities.

Amgen is a Thousand Oaks, Calif., manufacturer and marketer of human therapeutics based upon advances in cellular and molecular biology.
