New Issue: JPMorgan sells $1.89 million autocallable contingent interest notes on Russell, S&P

By Sarah Lizee

Olympia, Wash., Oct. 3 – JPMorgan Chase Financial Co. LLC priced $1.89 million of autocallable contingent interest notes due Dec. 31, 2019 linked to the lesser performing of the S&P 500 index and the Russell 2000 index, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by JPMorgan Chase & Co.

The notes will pay a quarterly coupon at an annual rate of 7% if both indexes close above their interest barrier levels, 70% of their initial levels, on the review date for that quarter.

The notes will be called at par plus the contingent coupon if both indexes close at or above their initial levels on any quarterly review date other than the final date.

The payout at maturity will be par plus the final coupon unless either index finishes below its initial level and either index closes below its 70% trigger level during the life of the notes, in which case investors will lose 1% for each 1% decline of the lesser performing index from its initial level.

J.P. Morgan Securities LLC is the agent.
