American Stock Transfer & Trust affiliate to acquire D.F. King & Co.

New York, May 27 - American Stock Transfer & Trust Co., LLC announced that affiliate AST Fund Solutions, LLC has entered into a definitive agreement to purchase D.F. King & Co., Inc. and its operating businesses.

According to a press release, the combined company will be a leading issuer and shareholder services firm across North America and Europe.

D.F. King will be integrated and operate immediately with ASTOne, a division of AST that offers proxy solicitation, ownership intelligence and corporate governance services, the release. Stated.

"Combining D.F. King with ASTOne reshapes the issuer and shareholder services business," AST president and chief executive officer Mark C. Healy said in the release.

"It unifies respective strengths and creates a powerhouse of leadership and specialized advisory, operational and communications expertise under one roof."

As both companies are privately held, terms of the acquisition are not being disclosed. The transaction is expected to close within 30 days after signing, the release said.

Based in Lyndhurst, N.J., AST provides registry services and technology to financial market participants. New York-based D.F. King provides services in proxy contests, tender offers and exchange offers for corporate control.
