Interpublic Group to offer senior notes via four bookrunners

Lexington, Ky., June 6 – Interpublic Group of Cos. Inc. is offering a series of dollar-denominated senior notes, according to a 424B2 filed with the Securities and Exchange Commission.

The notes are callable at par plus a make-whole premium until some months before the maturity date, and then the notes will be callable at par. Any change of control will trigger a put at 101.

Citigroup Global Markets Inc., J.P. Morgan Securities LLC, and Morgan Stanley & Co. LLC are leading the deal. BofA Securities, Inc. is also a bookrunner.

U.S Bank Trust Co., NA is the trustee.

Willkie Farr & Gallagher LLP will act as counsel for Interpublic. Shearman & Sterling LLP will advise the bookrunners regarding legal matters.

Interpublic Group plans to use the proceeds of the new notes for general corporate purposes, which is expected to include the repayment at or before maturity of the company’s $250 million of outstanding 4.2% senior notes due April 2024.
