By Marisa Wong

Madison, Wis., Jan. 3 - Internet Gold - Golden Lines Ltd. completed a NIS 14 million private placement of series C debentures, according to a 6-K filing with the Securities and Exchange Commission.

The private placement was an increase to the company's existing debentures first issued in September 2010.

The Regulation S offering was made to Israeli institutional investors.

According to the filing, the Israeli Tax Authority approved the formula for calculating the adjusted discount rate for all series C debentures. As a result of the private placement, the rate for the debentures will be 1.83%.

The company announced last week that it completed a NIS 65 million private placement of the series C debentures.

Internet Gold is a telephone and internet provider based in Petach Tikva, Israel.
