By Ted A. Knutson

Washington, March 7 - International Paper Co. filed for a debt and stock shelf for an unspecified dollar amount in an S3-ASR registration with the Securities and Exchange Commission. The shelf contains $4 billion of previously registered but unsold securities.

The shelf includes common and preferred stock, debt securities, trust preferred securities depositary shares, stock purchase contracts and units and warrants. Securities may be issued in the form of convertibles.

The Stamford, Conn.-based paper company said proceeds would be used for general corporate purposes.
