Kazakhstan’s Intergas gets early tenders for $375 million 6 3/8% notes

Chicago, Nov. 5 – JSC Intergas Central Asia said investors had tendered $374,599,000 of its 6 3/8% senior notes due 2017 as of 5 p.m. ET on Nov. 4, the early tender date.

Intergas will accept the tendered notes for purchase on a prorated basis up to the tender cap of $270 million, according to a company notice.

The company said it will accept tendered notes that will not result in an aggregate nominal amount of less than the minimum denomination of $100,000 after proration.

The tender offer will continue until 11:59 p.m. ET on Nov. 19.

As previously announced, the total purchase price will be $1,040 for each $1,000 principal amount of notes tendered by the early deadline.

The total amount includes an early tender premium of $20 per $1,000 principal amount.

Those who tender after the early deadline will receive the total payment less the early premium.

The company also will pay accrued interest to but excluding the settlement date of Nov. 25.

Intergas said on Oct. 22 that it began a tender offer for up to $270 million of its $540 million outstanding of 6 3/8% notes.
