ING Groep announces offering of perpetual hybrid securities

Omaha, June 9 - ING Groep NV announced Monday it will price an offering of perpetual hybrid capital securities, according to a 424B5 filing with the Securities and Exchange Commission.

Pricing is expected Tuesday, a source close to the issue said.

The securities will be callable beginning Sept. 15, 2013 on interest payment dates.

Bookrunners are Citigroup Global Markets Inc., ING Financial Markets, Merrill Lynch, Pierce, Fenner & Smith Inc. and Morgan Stanley & Co., Inc.

Co-managers are UBS Investment Bank, Wachovia Capital Markets, Banc of America Securities LLC and RBC Capital Markets.

Proceeds will be used for general corporate purposes and to strengthen the company's financial base.

The financial services company is based in Amsterdam.
