By Sheri Kasprzak

New York, Dec. 6 - INfe Human Resources, Inc. released additional details on its previously announced $3 million private placement.

The company issued convertible notes and the investors received warrants for 1.2 million shares.

The conversion price of the notes, according to a form 8-K filed with the Securities and Exchange Commission Tuesday, is dependent on the trading level.

The warrants are exercisable at $1.50 each.

No further details were available on the offering, which closed Nov. 30.

The proceeds will be used for the company's acquisition strategy and for working capital.

Based in Las Vegas, INfe is a staffing company. On Tuesday, the company's stock dove 17.91%, or $0.12, to close at $0.55.
