American Greetings extends change-of-control tender by another day

Chicago, April 5 – American Greetings Corp. said it again extended its change-of-control tender offer for its $400 million of 7 7/8% senior notes due 2025.

The change-of-control tender offer will now continue until 2 p.m. ET on April 5, extended from 5 p.m. ET on April 4.

Investors had tendered $377,411,000 of the notes as of the old deadline, which is unchanged as of April 3, according to a company update on Thursday.

The offer was previously extended from 5 p.m. ET on April 3 and 12 a.m. ET on each of April 2, March 30, March 29, March 28 and March 27.

Holders had tendered $377,405,000 on March 30, $376,468,000 on March 29, $368,247,000 on March 28 and $360,497,000 on March 27.

American Greetings began the offer on Feb. 27.

The company previously announced and then, on March 21, terminated a tender offer and consent solicitation for the notes.
