Illinois Tool Works to conduct sale of notes through two bookrunners

Knoxville, Tenn., Oct. 31 – Illinois Tool Works Inc. is planning an offering of notes, according to a 424B5 filed Monday with the Securities and Exchange Commission.

The notes have a make-whole call feature and are then callable at par.

Citigroup Global Markets Inc. and J.P. Morgan Securities LLC are the bookrunners and the co-managers are Barclays, Goldman Sachs & Co., Mizuho Securities USA Inc. and Wells Fargo Securities LLC.

Proceeds will be used to repay short-term commercial paper debt and for general corporate purposes.

Based in Glenview, Ill., Illinois Tool Works manufactures industrial products and equipment.
