i2 Technologies shareholder Amalgamated Gadget agrees to support deal with JDA Software

Charlotte, N.C., Aug. 20 - i2 Technologies, Inc. shareholder Amalgamated Gadget, LP entered into a voting agreement in support of the company's merger with JDA Software Group, Inc., according to a schedule 13D filed with the Securities and Exchange Commission.

JDA Software agreed to acquire i2 Technologies for $346 million, or $14.86 per share of i2 common stock, it was previously reported.

Under the merger agreement, each issued and outstanding share of i2's series B convertible preferred stock will be converted into the right to receive $1,095.3679 in cash plus all accrued and unpaid dividends, JDA Software said.

The merger is expected to close in the fourth quarter, subject to shareholder approval and completed debt financing arrangements.

Amalgamated Gadget owns 17.8% of i2 Technologies, a Dallas-based supply chain company.

JDA Software is a Scottsdale, Ariz., software services provider.
