Horace Mann offers senior notes to repay revolving facility

Chicago, Sept. 12 – Horace Mann Educators Corp. announced a senior notes offering in a 424B3 filing with the Securities and Exchange Commission on Tuesday morning.

The fixed-rate notes may be redeemable by the company with a make-whole premium until the par call option starts one month before the maturity date.

J.P. Morgan Securities LLC and PNC Capital Markets LLC are the joint bookrunners.

Bank of New York Mellon Trust Co., NA will be the trustee.

Gibson, Dunn & Crutcher LLP is advising Horace Mann. Davis Polk & Wardwell LLP is working as counsel for the underwriters.

Proceeds will be used to repay borrowings under a revolving credit agreement with $249 million outstanding as of June 30. Any remaining proceeds will be used for general corporate purposes.

Horace Mann is a Springfield, Ill.-based insurance holding company focused on educators.
