American Bancorp of New Jersey shareholder boosts interest to 5.48%

Charlotte, N.C., Dec. 22 - Berggruen Holdings North America Ltd. and LSBK06-08 sold all of their remaining shares of American Bancorp of New Jersey, Inc. to entities controlled by Seidman and Associates, LLC, it was reported in a schedule 13D/A filed with the Securities and Exchange Commission.

Seidman now beneficially owns 616,928 shares, or approximately 5.68%, of the Bloomfield, N.J., bank holding company.

It was previously reported that Investors Bancorp, Inc. agreed to acquire American Bancorp of New Jersey in a stock-and-cash transaction valued at $12.50 per share, or $140 million.

American Bancorp stockholders may elect to receive either 0.9218 shares of Investors Bancorp common stock or $12.50 in cash for each American Bancorp share, subject to proration, a prior news release said.

Investors Bancorp, located in Short Hills, N.J., is a holding company for Investors Savings Bank, a New Jersey chartered savings bank.
