American Airlines guarantees US Airways notes, certificates post merger

Chicago, Dec. 31 – American Airlines, Inc. became the guarantor of several series of notes issued by US Airways Inc. after the merger of the companies closed Wednesday, according to an 8-K filed with the Securities and Exchange Commission.

As a result, all of the debt and liabilities of US Airways became those of American, including the follow note series:

• $500 million of 6.125% senior notes due 2018;

• $750 million of 5.5% senior notes due 2019; and

• $500 million of 4.625% senior notes due 2020.

The company also became guarantor of several series of enhanced equipment trust certificate financings of aircraft:

• $235 million 2010-1 EETCs with a coupon of 6.25% to 8.5% and maturity date of April 2017 to April 2023;

• $304.2 million 2011-1 EETCs with a coupon of 7.125% to 9.75% and maturity date of October 2018 to October 2023;

• $485.6 million 2012-1 EETCs with a coupon of 5.9% to 9.125% and maturity date of October 2015 to October 2024;

• $576.9 million 2012-2 EETCs with a coupon of 4.625% to 6.75% and maturity date of June 2018 to June 2025; and

• $774 million 2013-1 EETCs with a coupon of 3.95% to 5.375% and maturity date of November 2021 to November 2025.
