Hillenbrand moves closer to spinoff of Hill-Rom with filing of SEC registration

Charlotte, N.C., Nov. 5 - Hillenbrand Industries, Inc. filed a form 10 registration statement with the Securities and Exchange Commission for Batesville Casket in connection with its separation of Batesville Casket and Hill-Rom, Hillenbrand's medical technology company.

The separation, expected to be completed by February, is designed to unlock value and allow each company to focus on accelerating growth in their respective industries, according to a company news release.

"This filing represents an important milestone in our journey to separate the two companies," president and chief executive officer Peter H. Soderberg said in the release.

"We look forward to discussing the status of the separation during our earnings call on November 15 and, in the coming months, sharing more details on our plans for growth for each of the companies."

In May, Hillenbrand's board of directors approved a plan to spin off Hill-Rom through a tax-free dividend of its shares to Hillenbrand shareholders. Batesville Casket, the company's funeral products business, would become the sole operating unit of Hillenbrand, remaining publicly traded under the Hillenbrand name.

Hillenbrand is based in Batesville, Ind.
