S&P rates Amazon.com, debt, notes AA-

Standard & Poor's said it assigned its AA- corporate credit rating to Amazon.com Inc. The rating outlook is stable.

At the same time, the agency said it assigned its preliminary AA- rating to the company's senior unsecured debt and its preliminary A+ rating to its subordinated debt under the unlimited Rule 415 shelf registration for debt securities.

Concurrently, the agency said it assigned its AA- issue-level rating to Amazon's proposed $500 million senior unsecured notes due 2015, $1 billion of notes due 2017 and $1 billion of notes due 2022, which are a drawdown from the shelf registration.

S&P said the rating on Amazon.com reflects its assessment that the company's business risk profile is strong and its financial risk profile is minimal.
