Amazon offers senior notes in five tranches via four bookrunners

Lexington, Ky., Nov. 29 – Amazon.com Inc. plans an offering of senior notes (A1//AA-) in five tranches via four bookrunners, according to a 424B5 filing with the Securities and Exchange Commission.
The notes will be callable anytime in whole or in part prior to the call date, or in the case of two series of the notes, anytime prior to maturity at a make-whole premium plus a margin. Three series of the notes will be callable at par after the par call date.
J.P. Morgan Securities LLC, Barclays, BofA Securities Inc. and SG Americas Securities LLC are the bookrunners.
Computershare Trust Co. is the trustee.
Gibson, Dunn & Crutcher LLP is counsel for Amazon. Davis Polk & Wardwell LLP will act as counsel for the underwriters.
Amazon will use the proceeds for general corporate purposes, repayment of debt, acquisitions, investments, working capital, investments in subsidiaries, capital expenditures and repurchases of outstanding shares of common stock.
