Hart-Scott-Rodino waiting period extended for Hanover, Universal merger

Charlotte, N.C., March 28 - The Antitrust Division of the U.S. Department of Justice requested additional information regarding the proposed merger of Hanover Compressor Co. and Universal Compression Holdings, Inc.

As a result, the waiting period under the Hart-Scott-Rodino act was extended until 30 days after the companies have substantially complied with the second request, according to a company news release.

The merger remains on track to close in the third quarter of 2007, the Houston-based companies said.

Under the previously announced merger agreement, Hanover stockholders will receive 0.325 shares and Universal stockholders will receive one share of the new company for each of their respective shares.

Hanover Compressor is a provider of service, fabrication and equipment for oil and natural gas production, processing and transportation applications.

Universal Compression is a natural gas compression services company.
