Cemtrex to reconvene meeting for series 1 preferreds on Dec. 29

Lexington, Ky., Dec. 28 – Cemtrex, Inc. will reconvene a special meeting of series 1 preferred stockholders after a previous meeting failed to reach a quorum, according to a notice.

The reconvened meeting will be held at noon ET on Dec. 29 in Hauppauge, N.Y.

The previous meeting was held on Dec. 26 but was adjourned to allow additional time to establish a quorum and for voting.

Currently 41.21% of eligible shareholders have participated.

In addition to voting shares by mail or at the meeting, stockholders may also vote online until 11:59 p.m. ET on Dec. 28 at https://www.cleartrustonline.com/cemtrex.

Cemtrex preferred stockholders are being asked to consider amending the company’s certificate of designations, preferences and rights of series 1 preferred stock to effect a reverse stock split of all of the company’s outstanding shares of series 1 preferred stock by a ratio of 1 for 2 and increase the liquidation value and voting rights of the preferreds by the same ratio.

The Farmingdale, N.Y., technology company provides manufacturing services of advanced electronics system assemblies, broad-based industrial services, instruments and emission monitors for industrial processes and industrial air filtration and environmental control systems.
