NRG Energy tenders for up to $600 million notes from three series

Columbus, Ohio, Nov. 6 – NRG Energy, Inc. began a tender offer to purchase up to $600 million total principal amount of notes from three series, according to a news release on Monday.

The following notes, listed in order of acceptance priority, are covered under the offer:

• $1.1 billion of 3.875% senior notes due 2032 (Cusips: 629377CS9, U66962AX6, 629377CR1) for a total consideration per $1,000 principal amount of $810;

• $1.03 billion of 3.625% senior notes due 2031 (Cusips: 629377CQ3, U66962AW8) for a total consideration per $1,000 principal amount of $820; and

• $500 million of 3.375% senior notes due 2029 (Cusip: U66962AV0) for a total consideration per $1,000 principal amount of $855.

Each series’ total consideration includes an early tender payment of $50 per $1,000 principal amount that will be paid only to holders who tender their notes by 5 p.m. ET on Nov. 20.

The offer will expire at 5 p.m. ET on Dec. 6.

Holders also will receive accrued interest up to but excluding the payment date.

The tender offer is not conditioned on any minimum principal amount of notes being tendered, but it is subject to some other conditions.
