Health and Happiness starts tender offer for 5 5/8% notes due 2024

Los Angeles, May 8 – Health and Happiness (H&H) International Holdings Ltd. has begun an offer to purchase for cash up to a maximum acceptance amount of its $269,656,000 outstanding 5 5/8% senior notes due 2024 (ISIN: XS2067255328), according to a notice on Monday.

The company is offering to purchase the notes at $1,014.0625 for each $1,000 principal amount. The company will also pay accrued interest.

The maximum acceptance amount is expected to be determined and announced after the expiration deadline at 11 a.m. ET on May 17. Settlement is slated for May 22.

The offer is subject to a new issue condition. The company announced on Monday a concurrent offering of dollar-denominated senior notes.

Holders of the existing notes who subscribe for the new notes and wish to participate in the tender offer may receive priority of acceptance under the tender offer. In addition, holders who participate in the tender offer and wish to subscribe for new notes may receive preference in allocation of the new notes.
