International Game Technology calls two series of secured notes

Lexington, Ky., Feb. 28 – International Game Technology plc has exercised its option to redeem €188 million of its €500 million 3.5% senior secured notes due July 5, 2024 (ISIN: XS1844998192, XS1844997970) and $200 million of its $1.1 billion 6.5% senior secured notes due Feb. 15, 2025 (ISIN: US460599AC74, USG4863AAC20), according to multiple notices and a 6-K filing with the Securities and Exchange Commission.

The 2024 notes will be redeemed at a price equal to Bunds plus 50 basis points plus accrued interest of €5.93056 per €1,000 of principal amount of the notes.

The 2025 notes will be redeemed at the redemption price of $1,012.54087 plus accrued interest of $5.59722 per $1,000 of principal amount of notes.

The redemption date for the Rule 144A and Regulation S notes is March 16.

Following the redemption, €112,041,000 of the 2024 notes and $499,999,000 of the 2025 notes will remain outstanding.

BNY Mellon Corporate Trustee Services Ltd. is the trustee.

NatWest Markets plc is the security agent.

Bank of New York Mellon (Luxembourg) SA/NV is the registrar.

Bank of New York Mellon is the dollar paying agent and registrar for the 2025 notes, and Bank of New York Mellon, London Branch is the euro paying agent and transfer agent for the 2024 notes.

International Game Technology is a London-based gaming company.
