Scotiabank Peru starts tender offer for 4½% subordinated notes due 2027

Lexington, Ky., Jan. 3 – Scotiabank Peru SAA launched a tender offer for cash for any and all of its outstanding 4½% fixed-to-floating rate subordinated notes due 2027 (Cusips: 80928HAA1, P8542TAP2), according to a press release.

The company is offering to repurchase the notes at a par.

Accrued interest will also be paid.

The tender offer expires at 5 p.m. ET on Jan. 10. Notices of guaranteed delivery are due by 5 p.m. ET on Jan. 12.

Tendered notes may be withdrawn any time prior to the expiration of the offer.

If there is any change in the consideration offered, Scotiabank will extend the expiration by at least five business days if the offer would otherwise expire during that period. If the change consists of a material change that would have a negative effect on any holder, then the tender offer would be extended for at least three business days if the offer would otherwise expire during that period.
