JBS USA Lux receives requisite consents to amend six series of notes

Chicago, Aug. 15 – JBS USA Lux SA announced the successful results of its consent solicitation from holders of each of six series of notes issued by JBS USA Lux, JBS USA Finance, Inc. and JBS USA Food Co. to some proposed amendments to the indentures governing each series.

JBS USA Lux was asking to amend the 6½% senior notes due 2029, 5½% senior notes due 2030, 3¾% senior notes due 2031, 3% senior notes due 2029, 3% sustainability-linked senior notes due 2032 and 4 3/8% senior notes due 2052.

The proposed amendments will conform some provisions and restrictive covenants of the indenture governing each series to the corresponding provisions and restrictive covenants set forth in the indentures dated June 21 governing the issuers’ 5 1/8% senior notes due 2028, 5¾% senior notes due 2033 and 6½% senior notes due 2052.

The solicitation expired at 5 p.m. ET on Aug. 15.

The company needed and received consents from a majority of the notes for each series, but did not detail the results.

Holders of record as of 5 p.m. ET on Aug. 1 will receive a cash payment of $1.00 per $1,000 principal amount of 6½% notes due 2029, 2030 notes and 2031 notes; and $0.50 per $1,000 principal amount of 3% notes due 2029, 2032 notes and 2052 notes.

The cash payment is expected to occur on Aug. 19.

The amendments will become operative after the consent fee is pad.

Additionally noted, the company intends to register the notes with the Securities and Exchange Commission and plans to offer registered exchange notes for the existing notes.
