Prosus announces final results of tender offer for 2025, 2027 notes

Chicago, July 16 – Prosus NV announced the final results of its any-and-all cash tender offer for its $1.2 billion 5½% notes due 2025 (Cusips: 62856RAC9, N5946FAC1) and its $1 billion outstanding 4.85% notes due 2027 (Cusips: 62856RAD7, N5946FAD9), according to a notice on Friday.

The offer expired at 5 p.m. ET on July 13.

A total of $1,361,105,000 of notes were validly tendered and not withdrawn.

The final amounts accepted for each series were previously reported: $975,251,000 of the 2025 notes and $385,854,000 of the 2027 notes.

The notes will be retired and canceled.

The notes that were delivered via guaranteed delivery procedures, $508,000 of 2025 notes and $2,347,000 of 2027 notes, were not mentioned in the final press release.

Settlement was expected for July 15.
