Brazil’s BRF begins capped tender offer for 4 7/8% notes due 2030

Chicago, June 2 – Brazil’s BRF SA launched a capped cash tender offer regarding its $750 million outstanding 4 7/8% senior notes due 2030 (Cusips: 10552TAG2, P1905CJX9), according to an offer to purchase notice.

The company will purchase up to $180 million of the notes.

The early tender deadline is 5 p.m. ET on June 15, also the withdrawal deadline.

The total consideration for noteholders who tender their notes early is $1,047.50 per $1,000 note, an amount that includes an early tender premium of $30.

Noteholders who tender after the early tender deadline will receive $1,017.50 per note.

Tenders may be subject to proration if the offer is oversubscribed.

Interest will be paid to the relevant settlement date. Early settlement is planned tentatively for June 16.

The offer expires at 11:59 p.m. ET on June 29, with settlement set for June 30.

There are no guaranteed delivery provisions for the offer.
