William Hill notes are putable on June 14 due to change of control

Chicago, April 23 – William Hill plc issued change-of-control notices for its £350 million of 4 7/8% guaranteed notes due 2023 (ISIN: XS1412547660) and its £350 million of 4¾% guaranteed notes due 2026 (ISIN: XS1989833816) on Friday.

The put date for the notes is June 14.

Noteholders may redeem their notes on that date at 101, plus interest through the put date.

Two events triggered the put option. All of the shares of William Hill have been transferred to Caesars UK Holdings Ltd. on April 22, and the notes did not have an investment-grade rating at the time of the change of control.

Noteholders who wish to have their notes redeemed should give notice to Citibank, NA, London Branch (+353 1 622 0866, ppapayments@citi.com) before June 7.

The issuer is a London-based bookmaking operation.
