Bombardier tenders for up to $1.1 billion of notes from three series

Columbus, Ohio, March 22 – Bombardier Inc. tendered for up to $1.1 billion of three series of notes, according to a Monday news release.

Listed in order of acceptance priority, the notes include are company’s

• $1,017,539,000 of 8¾% senior notes due 2021 (Cusips: 097751BP5 and C10602BB2) for a total consideration of $1,051.88 per $1,000 principal amount;

• $500 million of 5¾% senior notes due 2022 (Cusips: 097751AY7 and C10602AR8) for a total consideration of $1,045 per $1,000 principal amount; and

• $1.25 billion of 6 1/8% senior notes due 2023 (Cusips: 097751BF7 and C10602AW7) for a total consideration of $1,045 per $1,000 principal amount.

In each case, the total consideration includes a $50 early tender premium per $1,000 principal amount that will be paid only to holders who tender by the early deadline, 5 p.m. ET on April 2.

There is a $250 million series limit for the 2023 notes.

The offer will expire at 11:59 p.m. ET on April 16.

Early and final settlement are expected to occur two business days after the early deadline and expiration date, respectively.
