FIS begins any-and-all, capped tender offers for 11 series of notes

New York, Feb. 23 – Fidelity National Information Services, FIS, began tender offers to purchase for cash any and all of seven series of notes and up to $500 million of four series of notes, according to a news release.

Any-and-all offers

The outstanding amounts of the series in the any-and-all tender offers are as follows:

• €500 million of floating rate senior notes due May 21, 2021 (ISIN: XS1843436491) to be repurchased at €1,000.50 per $1,000 of notes;

• €500 million of 0.125% senior notes due May 21, 2021 (ISIN: XS1843436657) to be repurchased at €1,000.82 per $1,000 of notes;

• $700 million of 3.5% senior notes due April 15, 2023 (Cusip: 31620MAK2) to be repurchased at a price calculated using the 0.25% U.S. Treasury due April 15, 2023 plus a fixed spread of 30 basis points;

• $400,004,000 of 3.875% senior notes due June 5, 2024 (Cusip: 31620MAM8) to be repurchased at a price based on the 2% U.S. Treasury due May 31, 2024 plus a fixed spread of 25 bps;

• £625 million of 2.602% senior notes due May 21, 2025 (ISIN: XS1843436061) to be repurchased at a price based on the 5% U.K. Treasury due March 7, 2025 plus a fixed spread of 30 bps;

• $611,928,000 of 5% senior notes due Oct. 15, 2025 (Cusip: 31620MAR7) to be repurchased at a price based on the 0.25% U.S. Treasury due June 30, 2025 plus a fixed spread of 45 bps; and

• $1.25 billion of 3% senior notes due Aug. 15, 2026 (Cusip: 31620MAT3) to be repurchased at a price based on the 1.625% U.S. Treasury due May 15, 2026 plus a fixed spread of 25 bps.

The purchase prices will be determined at 10 a.m. March 2.

The any-and-all tender offers will expire at 11 a.m. ET on March 2 for euro and sterling notes and at 5 p.m. ET on March 2 for dollar notes.

Settlement is slated for March 3.

Capped offer

The outstanding amounts of the series included in the capped offer, listed by acceptance priority level, are as follows:

• $400 million of 4.25% senior notes due May 15, 2028 (Cusip: 31620MAY2) to be repurchased at a price calculated using the 1.125% U.S. Treasury due Feb. 15, 2031 plus a fixed spread of 25 bps;

• $1 billion of 3.75% senior notes due May 21, 2029 (Cusip: 31620MBJ4) to be repurchased at a price based on the 1.125% U.S. Treasury due Feb. 15, 2031 plus a fixed spread of 45 bps;

• $324,021,000 of 4.5% senior notes due Oct. 15, 2046 (Cusip: 31620MAU0) to be repurchased at a price based on the 1.625% U.S. Treasury due Nov. 15, 2050 plus a fixed spread of 95 bps; and

• €1.25 million of 1.5% senior notes due May 21, 2027 (ISIN: 1843436228) to be repurchased at a price based on the February 2027 interpolated rate plus a fixed spread of 40 bps.

Pricing will be determined at 10 a.m. ET March 9.

The consideration under the capped offer will also include a $50 or €50 early tender payment per $1,000 or €1,000 of notes tendered by the early tender deadline at 5 p.m. ET March 8.

All maximum tender offer notes tendered prior to or at the early tender date will be accepted based on the acceptance priority levels and will have priority over maximum tender offer notes tendered after the early tender date, regardless of the acceptance priority levels of the maximum tender offer notes tendered after the early tender date.

Settlement of early tendered notes under the capped offer will be on March 10.

The capped tender offer will expire at 11:59 p.m. ET March 22.

Final settlement of the capped offers is expected to occur on March 24.

Tenders of any-and-all notes may be withdrawn prior to the expiration time, and tenders under the capped offer may be withdrawn prior to 5 p.m. ET March 8.
