• Coupon of 0.25% to 0.75% and an initial conversion premium of 32.5% to 37.5%

• J.P. Morgan Securities LLC, BofA Merrill Lynch, Leerink Partners LLC

• Non-callable for three years then subject to 130% hurdle

• Proceeds to cover cost of call spread, to fund a share buyback of up to $100 million, for capital expenditures, for working capital and for general corporate purposes, including acquisitions and additional share repurchases

• San Diego-based manufacturer of glucose monitoring systems

ELECTRONICS FOR IMAGING INC.:

• $130 million five-year convertible notes

• $19.5 million greenshoe

• Coupon of 1.75% to 2.25% and an initial conversion premium of 30% to 35%

• Rule 144A

• Goldman Sachs & Co. LLC and Citigroup Global Markets Inc.

• Proceeds to repurchase about $48 million of common stock, for general corporate purposes, including the repayment of the company’s 0.75% convertible notes due 2019 at maturity, for acquisitions and for working capital

• Fremont, Calif.-based digital printing technology company

LIBERTY MEDIA CORP.:

• $350 million exchangeable debentures due 2048

• $52.5 million greenshoe

• Coupon of 1.25% to 1.75% and an initial exchange premium of 27.5% to 32.5%

• Rule 144A

• UBS Securities LLC, Citigroup Global Markets Inc., Credit Suisse Securities (USA) LLC, Mizuho Securities USA Inc. and Morgan Stanley & Co. LLC

• Reference shares Live Nation Entertainment, Inc. Settlement shares series C Liberty Formula One common stock, series C Liberty Sirius XM common stock, or any other class of Liberty’s publicly traded common stock that meets certain criteria

• Proceeds will be used to repay a margin loan secured by Live Nation shares with any remaining proceeds to be used for investment activities and general corporate purposes

• Englewood, Colo.-based media, communications and entertainment company. Liberty Media’s Live Nation subsidiary produces concerts and sells tickets online
