Alcatel-Lucent offers to buy any and all €424.76 million 8½% notes

Madison, Wis., June 24 – Alcatel-Lucent said it began a cash tender offer on Tuesday for any and all of its outstanding €424,757,000 8½% notes due 2016.

The company is offering to purchase the notes at 111.75 plus accrued interest, according to a press release.

In order to participate, holders must tender their notes by 11 a.m. ET on July 2.

Tenders must be for a minimum of €50,000 of notes and in general may not be revoked.

Results of the tender offer will be announced on July 3, and settlement will be on July 4.

The outstanding €424,757,000 principal amount includes €19.4 million principal amount that the company recently repurchased and intends to cancel, the release noted.

Alcatel-Lucent said the purpose of the Regulation S offer is to proactively manage upcoming redemptions of its debt and its overall debt maturity profile.
