Brazil's BRF completes cash tender offer for 6 7/8% notes, 7¼% notes

New York, May 15 - BRF SA said it completed the cash tender offers for $220,718,000 of outstanding 6 7/8% notes due 2017 issued by subsidiary Sadia Overseas Ltd. and $629,282,000 of outstanding 7¼% senior notes due 2020 issued by subsidiary BFF International Ltd.

The offers ended at 8 p.m. ET on May 15, with settlement set for May 22. The offers began on May 7.

As of the expiration, holders of $60,953,000, or 27.62%, of the 6 7/8% notes and $409.64 million, or 65.1%, of the 7¼% notes had tendered their securities. The company accepted all tendered notes.

As reported, the purchase price for each $1,000 principal amount will be $1,132.75 for the 6 7/8% notes and $1,191.23 for the 7¼% notes.

Pricing was set at 2 p.m. ET on May 14 using the 0.875% Treasury due April 15, 2017 plus a fixed spread of 150 basis points for the 6 7/8% notes and the 1.625% Treasury due April 30, 2019 plus 195 bps for the 7¼% notes.

The companies will also pay accrued interest to the settlement date.
