GERDAU HOLDINGS, INC.: Benchmark dollar-denominated senior unsecured notes due January 2020 (expected /BBB-/BBB-); HSBC, Santander, Itau, Bank of America Merrill Lynch, Citigroup, JP Morgan; Rule 144A/Regulation S; launch subject to market conditions; roadshow Nov. 13 in Switzerland, Nov. 16 in Los Angeles and London, Nov. 17 in New York and Boston; price talk at 7.375% area; proceeds to pay indebtedness and extend debt maturity profile; Delaware-based steel holding company.

NOVEMBER 23 WEEK

POWER SECTOR ASSETS AND LIABILITIES MANAGEMENT CORP. (PSALM): Up $600 million of dollar-denominated guaranteed global bonds due 2024 (Ba3//) for cash; part of exchange offer for existing debt; Development Bank of the Philippines, Morgan Stanley & Co. International and UBS AG (joint books); spread, coupon and principal amount for the new bonds to be announced on Nov. 23; also up to $600 million of global bonds due 2024 to be issued in exchange; proceeds from the cash sale will be used for general corporate purposes, including servicing payments as part of contracts with independent power producers; Manila, Philippines-based government-run power company.
