FSIC II augments public offering price to $10.05 per share

San Diego, Sept. 17 - FS Investment Corp. II said it has increased its public offering price to $10.05 from $10.00 per share, effective Sept. 17, according to a 497 filing with the Securities and Exchange Commission.

FSIC II's investment objects are to generate current income and, to a lesser extent, long-term capital appreciation by investing primarily in debt investments in a broad array of private U.S. companies, including small- and middle-market companies. The portfolio will consist primarily of investments in senior secured loans and second-lien secured loans of private U.S. companies and, secondarily, in subordinated loans of private U.S. companies.

The new price was initiated to ensure that the net asset value per share did not exceed the per-share offering price after deducting selling commissions and dealer manager fees. It will apply to subscriptions received from Sept. 4 through Sept. 16.

The fund commenced its continuous public offering in February 2012 and since then has sold 17,408,538 shares through Sept. 11 for gross proceeds of about $173 million.

Philadelphia-based FSIC II Advisor, LLC, the investment manager, is a subsidiary of Franklin Square Holdings, LP.
