Five Star Quality files $1 billion shelf registration

Des Moines, Nov. 22 - Five Star Quality Care, Inc. filed a $1 billion shelf registration in an S-3 filing with the Securities and Exchange Commission.

The registration covers debt securities, preferred stock, depositary shares representing preferred shares, common stock and warrants. The securities may be structured as convertibles.

The filing includes $129.087 million of previously registered but unsold securities.

Proceeds will be used for general business purposes.

Based in Newton, Mass., Five Star operates senior living communities.
