By Toni Weeks

San Diego, Jan. 6 - FT 3314 is offering units of its Dividend Income Plus Portfolio, Series 4, according to an S-6 amendment filed with the Securities and Exchange Commission.

The depositor is Wheaton, Ill.-based First Trust Portfolios LP.

The trust seeks above-average total return through a combination of capital appreciation and dividend income and will invest in a diversified portfolio of common stocks of established companies paying above-average dividend yields.

On the initial date of deposit, Jan. 6, the trust consists of $164,234 in contracts to purchase securities. The 16,423 units each have an initial public offering price of $10 and net asset value of $9.576. The estimated net annual distribution per unit for the first year is $0.4244.

The units each carry a maximum sales charge of 4.5%, consisting of a 4% deferred sales charge and a 0.5% creation and development fee. The fee will vary depending on the public offering price per unit. At the initial offering price of $10, the sales charge will equal 3.95%. If the price exceeds $10 per unit, the sales charge will be less than 3.95%. If the price per unit is less than $10, the sales charge will be higher than 3.95% and will be capped at 4.5%. The fee may be reduced on a sliding scale to 2.45% depending on the amount of investment.

The trust has a mandatory termination date of Jan. 7, 2014.
