New Issue: Citi sells $886,000 callable contingent coupon equity notes on index, ETFs

Columbus, Ohio, June 3 – Citigroup Global Markets Holdings Inc. priced $886,000 of callable contingent coupon equity-linked securities due Aug. 16, 2024 linked to the worst performing of the Dow Jones industrial average, the Financial Select Sector SPDR fund and the SPDR S&P Biotech ETF, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Citigroup Inc.

The notes will pay a contingent monthly coupon at an annual rate of 9.15% if each index closes at or above the coupon barrier level, 70% of the initial level, on the valuation date for that period.

The notes will be callable at par plus any coupon on any monthly valuation date after six months.

If the notes are not called and each index finishes at or above its initial level, the payout will be par.

If no index finishes below its 60% final barrier level, the payout will also be par.

Otherwise, investors will be fully exposed to the losses of the worst-performing index.
