New Issue: Fibrocell completes $3.25 million placement of convertible preferreds

Knoxville, Tenn., Oct. 14 - Fibrocell Science, Inc. took in $3.25 million in a private placement of its series A convertible preferred stock on Oct. 13, according to an 8-K filed Wednesday with the Securities and Exchange Commission.

The company sold 3,250 preferreds at $1,000.00 per preferred.

Investors also received class A warrants for 501,543 common shares, which are exercisable at $1.62 per share, and class B warrants for 416,667 common shares, which are exercisable at $1.95 per share.

Each 6% preferred is convertible into common shares at a conversion price of $1.30 per share.

Viriathus Capital LLC and John Carris Investments LLC were co-placement agents.

Fibrocell is a based in Exton, Pa.
