Federal Signal nominees receive support of third proxy advisory firm

By Lisa Kerner

Charlotte, N.C., April 21 - Federal Signal Corp. said Proxy Governance, Inc. recommends that the company's stockholders support all three Federal Signal director nominees at the annual meeting on April 29.

Proxy Governance said it believes Federal Signal's board "has demonstrated appropriate oversight and a commitment to accountability to shareholders" and that "shareholders would be best served by supporting the incumbent directors, including the new CEO, who are up for election at this meeting," according to Federal Signal.

As previously reported, RiskMetrics Group/ISS and Glass, Lewis & Co. also support the election of Jim Goodwin, Joe Wright and chief executive officer Bill Osborne.

Goodwin is the former interim president and CEO of Federal Signal and the former chairman and CEO of United Air Lines, Inc. Wright is the CEO and a director of Scientific Games Corp.

Shareholder Warren B. Kanders wants Federal Signal shareholders to support his election and the election of Steven R. Gerbsman and Nicholas Sokolow.

Federal Signal is a security technology and industrial tooling company located in Oak Brook, Ill.
