Federal Signal seeks shareholder support for board nominees on April 29

Charlotte, N.C., April 6 - Federal Signal Corp.'s board of directors unanimously recommends that stockholders elect the company's nominees at the 2009 annual meeting on April 29.

The company's nominees are:

• James E. Goodwin, former interim president and chief executive officer of Federal Signal and former chairman and CEO of United Air Lines Inc.;

• Joseph R. Wright Jr., CEO and a director of Scientific Games Corp.; and

• William H. Osborne, Federal Signal's newly hired president and CEO.

"We are convinced that Warren Kanders, a rejected candidate for CEO of Federal Signal, and his nominees - Nicholas Sokolow and Steven Gerbsman - are pursuing an ill-conceived agenda designed to serve the best interests of Warren Kanders, rather than the interests of all Federal Signal stockholders," Federal Signal said in a Monday letter to its stockholders.

In the letter, Federal Signal said Kanders has not provided a plan to improve stockholder value and his nominees lack operational and leadership experience in the markets in which the company operates.

Federal Signal is a security technology and industrial tooling company located in Oak Brook, Ill.
