Federal Signal shareholder seeks representation on board

Charlotte, N.C., Jan. 22 - Federal Signal Corp. stockholder Warren B. Kanders plans to nominate himself and two others for election to the company's board of directors at the 2009 annual meeting.

No meeting date has been set, Federal Signal said.

According to Federal Signal, in 2008 the company took action to position itself for growth. These actions included disposing of underperforming assets and reducing debt as well as appointing two new independent directors and a new management team led by chief executive officer William H. Osborne.

Kanders and Federal Signal have been at odds in the past over alleged violations of securities laws.

It was previously reported that Kanders has also called for the resignation of Federal Signal chairman Jim Janning. Kanders at one time was a candidate for the company's CEO position, a prior news release said.

Federal Signal is a security technology and industrial tooling company located in Oak Brook, Ill.
