JPMorgan plans contingent interest autocallables tied to four stocks

Knoxville, Tenn., Jan. 23 – JPMorgan Chase Financial Co. LLC plans to price autocallable contingent interest notes due July 30, 2020 linked to the least performing of the common stocks of Facebook, Inc., Amazon.com, Inc., Netflix, Inc. and Alphabet Inc., according to a 424B2 filed with the Securities and Exchange Commission.

The notes will be guaranteed by JPMorgan Chase & Co.

The notes will pay a contingent quarterly coupon at an annual rate of at least 13.5% if each stock closes at or above its interest barrier level, 65% of its initial level, on the review date for that quarter. The exact coupon will be set at pricing.

Beginning on April 26, the notes will be called at par plus the contingent coupon if each stock closes at or above its initial level on any quarterly review date other than the final one.

The payout at maturity will be par plus the contingent coupon unless any stock finishes below its 65% trigger level, in which case investors will lose 1% for each 1% decline of the worst performing stock from its initial level.

The notes (Cusip: 48129HP76) will price on Jan. 26 and settle Jan. 31.
